2. Entry Period: "Fly Away with Halo and Wings Sweepstakes" (the "Sweepstakes") commences at 12:00:01 PM (CT) on August 13, 2010 and ends at 11:59:59 PM (CT) on September 26, 2010 (the "Sweepstakes Period") and the deadline for submissions of Photos is September 26, 2010 (the "Submission Deadline"). All entries must be received by 11:59:59 PM (CT) on September 26, 2010.

3. Eligibility: This Sweepstakes is open to legal residents of the 48 contiguous United States and the District of Columbia, excluding Alaska and Hawaii. Entrants must be at least 18 years of age or older at time of entry. Entrants who have not yet reached the age of majority in the jurisdiction in which they reside will need to obtain permission from their parent/legal guardian in order to enter this Sweepstakes. Employees and their immediate families (i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings) of Country Music Television Inc., an MTV Networks, a division of Viacom International Inc. ("MTVN"), Steel Magnolia ("Artists"), Big Machine Records ("Big Machine"), Twitter ("Twitter"), and Hook Media ("Mobile Administrator"), and each of their respective parent companies, affiliated companies, subsidiaries, sponsors, advertising agencies and third party fulfillment agencies and their respective agents, employees, officers, directors, successors and assigns (collectively, with MTVN, Artists, Big Machine, Twitter and Mobile Administrator, the "Sweepstakes Entities") and any person who has won an MTVN contest or sweepstakes in the preceding twelve (12) month period are not eligible to enter this Sweepstakes. By participating in this Sweepstakes, entrants: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules by MTVN, and by the decisions of the Sweepstakes Entities, which are final in all matters relating to this Sweepstakes; (b) release and hold harmless the Sweepstakes Entities against any and all claims, injury or damage arising out of or relating to participation in this Sweepstakes and/or use or misuse or redemption of a Grand Prize (as hereinafter defined); and (c) acknowledge compliance with these Official Rules.

4. Sweepstakes Overview: This Sweepstakes is one sweepstakes wherein one (1) grand prize winner will be randomly selected (the "Grand Prize Winner") during the Sweepstakes Period. The odds of winning this Sweepstakes depend on the number of Eligible Entries (as hereinafter defined) received.

5. How to Enter and Submit Your Photo: There are three (3) methods of entry:

(a) Online Method of Entry: Visit sweepstakes.cmt.com, a website owned and controlled by MTVN (the "Website") and complete all required fields on the online entry form. Entrants must also electronically acknowledge and agree to the terms of these Official Rules, MTVN's Privacy Policy and Terms of Use and submit the online entry form and a photograph of yourself wearing a halo and wings (the "Photo") as instructed no later than the Submission Deadline (the "Online Entrants"). Limit one (1) entry per Online Entrant per day. If an Online Entrant uses multiple e-mail addresses to submit more than one online entry only the first online entry will count. In the event of a dispute over who submitted a winning online entry, the authorized subscriber of the e-mail account used to participate in this Sweepstakes at the actual time of entry, will be deemed to be the Online Entrant. The authorized account subscriber is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, education, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. All Online Entries become the property of MTVN and will not be acknowledged or returned.

(b) Text Message Method of Entry: Using your mobile phone, send a text message to "80366" with the word CMT in the subject or body of the text and attach your Photo (e.g. of yourself in a halo and wings) no later than the Submission Deadline. You will then receive a text confirming receipt of your Sweepstakes entry. You must have a mobile phone capable of sending and receiving text messages from a participating carrier in order to enter. By sending a text message with the Photo attached, you (and, if an eligible minor, your parent/legal guardian) hereby agree to these Official Rules, to the terms of Mobile Administrator's Terms of Use and Privacy Policy located at http://www.hookmobile.com and to the MTVN's Terms of Use and Privacy Policy located at http://www.CMT.com. Standard text messaging rates apply to each text message sent and received which will appear on entrant's mobile phone bill or deducted from entrant's prepaid phone balance. Please contact your service provider for pricing plan details, text messaging capabilities and service availability. Sweepstakes Entities are not responsible for charges entrants may incur as a result of wireless phone transmissions. Cell phone or text message service may not be available in all areas. To enter using text messaging, you must use one of the following participating wireless carriers: Alltel, AT&T, Boost, Nextel, Sprint, Verizon, MetroPCS, Virgin Mobile, Cricket and T-Mobile. MTVN and/or Mobile Administrator may change wireless carriers at any time and from time to time. MTVN and/or Mobile Administrator reserve the right to add or delete the short code set forth above at any time and from time to time. Entrants are solely responsible for all fees and taxes incurred through their wireless phone service, for text messages or otherwise, associated with participation in this Sweepstakes. All entries submitted under this paragraph 5(b) in accordance with these Official Rules shall be hereinafter referred to as "Text Message Entrants". In the event of a dispute over who submitted a winning Text Message Entry, the authorized subscriber of the mobile phone number used to participate in the Sweepstakes at the actual time of entry will be deemed to be the entrant and he/she must comply with these Official Rules. The authorized account subscriber is defined as the natural person who is assigned a mobile phone number by a wireless service provider or other organization that is responsible for assigning mobile phone numbers for the mobile phone number associated with the submitted text message. All Text Message Entries become the property of Sponsor and will not be acknowledged or returned.

(c) Twitter Method of Entry: Visit http://www.twitter.com and send a Photo of yourself in a halo and wings, including the URL of the Photo, to the @FollowCMT and/or @SteelMagnolia11 accounts with a #HaloWings tag no later than the Submission Deadline (Note: You will need to create a Twitter account if you don't already have one). By sending a Twitter message including the Photo, you (and, if an eligible minor, your parent/legal guardian) hereby agree to these Official Rules and to the MTVN's Terms of Use and Privacy Policy located at http://www.CMT.com. Although not required, we recommend you follow the official "CMT Channel" Twitter account located at http://twitter.com/FollowCMT so you can see the Grand Prize Winner announcement to see if you've won (pending verification) in addition to the winner notification described in Section 8 below. Please note that if you do not respond to the Grand Prize Winner notification described in Section 8, you will be disqualified and another Grand Prize Winner will be selected. Limit one (1) photo entry per entrant per day. If an entrant uses multiple e-mail addresses to submit more than one photo entry per day, only the first online photo entry will count. Automated tweets or tweets sent via a bot will be disqualified. All entries submitted under this paragraph 5(c) in accordance with these Official Rules shall be hereinafter referred to as "Twitter Entrants". In the event of a dispute over who submitted the winning Twitter Entry, the authorized subscriber of the Twitter account used to participate in the Sweepstakes at the actual time of entry will be deemed to be the entrant and he/she must comply with these Official Rules. The authorized account subscriber is defined as the natural person who is assigned a Twitter account by Twitter. All Twitter Entries become the property of Sponsor and will not be acknowledged or returned.

All Online Entrants, Text Message Entrants and Twitter Entrants submitted in accordance with these Official Rules shall be collectively hereinafter referred to as the "Eligible Entries". The odds of winning the Sweepstakes depend on the number of Eligible Entries received; in other words, many will enter; only one (1) person will win.

All PHOTOS:

a. must be intended for family audience viewing and contain only content that, in the sole discretion of the Sponsor, is suitable for all persons over the age of 13,
b. must not, in the sole discretion of the Sponsor, contain or involve any of the following: (i) obscenity, (ii) private property or other property (unless Contest Entrant has obtained a signed property release specific for the uses specified herein), (iii) crude, vulgar or offensive pictures, depictions, images, language and/or symbols, (iv) gang signs or symbols, (v) nudity, (vi) commercial products (e.g., clothing, toys, food) and/or their trademarks, brands, logos or endorsements, (vii) license plates, phone numbers, personal addresses (physical, email or otherwise), (viii) websites or web page links, (ix) derogatory characterizations of any ethnic, racial, sexual or religious groups, (x) humiliate other people (publicly or otherwise), (xi) any assault or threatening of others, (xii) trespass or the violation of other people's rights or property, (xiii) illegal (e.g., discriminatory, harassing) or inappropriate activity, behavior or conduct (e.g., inflicting emotional distress), (xiv) conduct or activities in violation of these Official Rules, or (xv) any other content, display, materials and/or images that is or could be considered inappropriate, unsuitable or offensive, as determined by the Sponsor, in its sole discretion,
c. must not contain content which endorses or condones illegal drug use or alcohol abuse and narcotic addiction,
d. must not contain content that is explicit, graphic or depicts sexual activity,
e. must not contain violence, nor may violence be shown or offered as an acceptable solution to problem or conflict, and
f. must not contain any copyrighted works (other than materials owned by the Contest Entrant) or any other information, content or materials that infringe the rights of any third party or violate any applicable laws or regulations.

All elements used, incorporated into or otherwise appearing in a Photo, including, without limitation, stills, video (collectively, "Elements") must be entirely original, created and performed by the Eligible Entrant or be in the public domain. Use of any Elements or other materials that are not original or in the public domain may result in disqualification of the affected Photo and the disqualification of the Eligible Entrant from participation in the Sweepstakes, all as determined by the MTVN in its sole discretion.

6. MTVN's Right To Disqualify: At any time during the Sweepstakes, MTVN reserves the right, in its sole discretion, to disqualify and remove any Photo for any reason including, but not limited to, if MTVN believes that such Photo, or any component thereof, contains any inappropriate content, infringes the rights of any third party, violates any applicable laws or regulations, is harmful to any MTVN's business, goodwill or reputation, or otherwise does not meet the requirements set forth in these Official Rules. The decisions of MTVN on this and all matters relating to the Sweepstakes are final and binding.

7. Conditions of Sweepstakes Entry: (a) Each Eligible Entrant retains ownership of any Photo he/she enters in the Sweepstakes. As a condition of entry into the Sweepstakes, each Eligible Entrant (or Eligible Entrant's parent/legal guardian, if Eligible Entrant is a minor in his/her state of legal residence):

(i) WARRANTS AND REPRESENTS THAT THE ELIGIBLE ENTRANT OWNS ALL RIGHTS TO THE PHOTO(S) HE/SHE IS SUBMITTING;

(ii) WARRANTS AND REPRESENTS THAT THE ELIBIGLE ENTRANT IS THE INDIVIDUAL PICTURED, OR, ALTERNATIVELY, THAT THE ELIGIBLE ENTRANT HAS OBTAINED PERMISSION FROM EACH PERSON WHO APPEARS IN THE PHOTO/ELEMENTS TO GRANT THE RIGHTS TO THE SWEEPSTAKES ENTITIES DESCRIBED IN THESE OFFICIAL RULES, AND CAN MAKE WRITTEN COPIES OF SUCH PERMISSIONS AVAILABLE TO THE SWEEPSTAKES ENTITIES UPON REQUEST;

(iii) WARRANTS AND REPRESENTS THAT: (A) HIS/HER PHOTO/ELEMENTS ARE ORIGINAL AND HAVE BEEN LEGALLY OBTAINED AND CREATED AND (B) DO NOT INFRINGE THE INTELLECTUAL PROPERTY, PRIVACY OR PUBLICITY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY, DEFAME ANY THIRD PARTY OR VIOLATE APPLICABLE LAWS, REGULATIONS OR NETWORK STANDARDS;

(iv) without limiting the rights granted to the Sweepstakes Entities and their affiliates, legal representatives, assigns, agents and licensees if the Eligible Entrant is the Grand Prize Winner, he/she irrevocably grants to the Sweepstakes Entities and their affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sublicensable, perpetual and transferable right and license to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, exhibit, use and/or otherwise edit or modify (as necessary) the Eligible Entrant's name, state of residence, Sweepstakes registration information, image, voice, likeness, statements, biographical material, including, without limitation, the Photo, Elements or digital recording and performances contained in any of the above items, as well as any additional photographic images, video images, portraits, interviews or other materials relating to the Eligible Entrant and arising out of his/her participation in this Sweepstakes (with or without using the Eligible Entrant's name) (collectively, the "Additional Materials") in connection with the rights granted in Rule 7(a)(v) below, without additional review, compensation, or approval from the Eligible Entrant or any other party, except as prohibited by law;

(v) without limiting the rights granted to the Sweepstakes Entities and their affiliates, legal representatives, assigns, agents and licensees if the Eligible Entrant is the Grand Prize Winner, he/she irrevocably grants to the Sweepstakes Entities and their affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sublicensable, perpetual and transferable right and license to reproduce, store, modify (for any purpose, including, but not limited to, internal standards/practices review and editorial control), copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit, create derivative works of, and/or otherwise exploit the Photo/Elements for (A) any purpose on or through MTVN's Website and/or sites owned or operated by MTVN, (B) any advertising, promotional or commercial purposes in any and all media, throughout the world, whether now known or hereafter created, in each instance, without additional review, compensation, or approval from the Eligible Entrant or any other party, except as prohibited by law;

(vi) grants to all end users of the MTVN-owned or operated sites and affiliated sites: (A) the non-exclusive license to access the Photo/Elements through the Website, (B) the ability to review, comment on and tag the Photo/Elements, (C) the ability to post the Photo/Elements on their respective websites, (C) the ability to send and distribute the Photo/Elements via e-mail, instant messenger or other electronic means, (E) the ability to access the Photo/Elements via the Website's API or via RSS or any similar XML or related feeds, and (F) the non-exclusive license to use, reproduce, distribute, prepare compilations and display the Photo/Elements as permitted through the functionality of the Website pursuant to the respective terms of service applicable thereto.

(vii) forever waives any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude the Sweepstakes Entities' use of the Photo/Elements or Additional Materials, or require the Eligible Entrant's permission for the Sweepstakes Entities to use them for promotional purposes, and agrees to never sue or assert any claim against the Sweepstakes Entities' use and exploitation of the same as permitted herein;

(viii) acknowledges and agrees that (A) the Sweepstakes Entities shall have access to and/or may create or have created literary, film, tape and/or other materials, ideas and concepts which may be similar or identical to the Photo/Elements in theme, idea, plot, format, characters and/or other respects, (B) the Eligible Entrant shall not be entitled to any compensation or other consideration because of the use by the Sweepstakes Entities of any such similar or identical material, ideas and/or concepts, and (C) the Sweepstakes Entities' use of material containing elements similar to or identical with those contained in the Photo/Elements or any component thereof shall not obligate the Sweepstakes Entities to negotiate with nor entitle Eligible Entrant to any compensation, accounting or other claim; and

(ix) agrees to indemnify and hold the Sweepstakes Entities and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Sweepstakes Indemnities"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Sweepstakes Indemnities arising out of or in connection with (A) any Photo/Elements or Additional Materials (including, without limitation, any and all claims of third parties, whether or not groundless or based on the submission of such material), (B) any breach by the Eligible Entrant of any warranty, agreement or representation contained in these Official Rules or terms of service or in any documentation submitted or agreed to by the Eligible Entrant, (C) the Eligible Entrant's conduct during and in connection with this Sweepstakes, including, without limitation, trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation, or (D) the acceptance, use or misuse of any award or prize.

(b) In addition to the rights granted to the Sweepstakes Entities as set forth above, the Grand Prize Winner (or Grand Prize Winner's parent/legal guardian, if winner is a minor in his/her state of legal residence) irrevocably grants to the Sweepstakes Entities and their affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sublicensable, perpetual and transferable right and license to reproduce, store, modify (for any purpose, including, but not limited to, internal standards/practices review and editorial control), copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit, create derivative works of, and/or otherwise exploit the Photo/Elements in any manner, throughout the world, in perpetuity, in any media, whether now known or hereafter created, in each instance, without additional review, compensation, or approval from the Grand Prize Winner or any other party, except as prohibited by law.

8. Grand Prize Winner Selection/Notification: One (1) grand prize winner (the "Grand Prize Winner") will be randomly selected on or about September 27, 2010 from among all of the Eligible Entries received. MTVN will make two (2) attempts over the 48 hour period following the Grand Prize Winner's selection to contact the potential Grand Prize Winner (A) via the telephone number(s) or email address provided on his/her Online Entry form; (B) via the mobile number associated with his/her winning Text Message Entry; or (C) a Twitter message responding to his/her related Twitter Entry. If a potential Grand Prize Winner cannot be directly reached during the 48 hour period in which he/she is called (no messages will be left on answering machines or voicemail systems), does not respond to the email or does not respond to the Twitter message, the potential Grand Prize Winner will be disqualified and an alternate Grand Prize Winner will be selected from among the remaining applicable Eligible Entries received, if time permits.

9. Grand Prize Winner Verification: The potential Grand Prize Winner must prove eligibility, including, without limitation, proof of age and residence within three (3) days of being notified as a potential Grand Prize Winner. In the event of non-compliance by the potential Grand Prize Winner, such potential Grand Prize Winner shall be disqualified and all privileges otherwise due as the Grand Prize Winner shall be terminated and an alternative potential Grand Prize Winner may be chosen from among all of the remaining applicable Eligible Entries received in MTVN's sole discretion. The Grand Prize Winner must sign (their parent/legal guardian if Grand Prize Winner is a resident of a jurisdiction that deems him/her to be a minor) within three (3) days of receipt of such documents from MTVN: (a) an affidavit of eligibility and release of Sweepstakes Entities from any and all liability, loss, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Sweepstakes or the use/misuse or acceptance of the Grand Prize or any portion thereof to be eligible for the Grand Prize; and (b) except where prohibited by law, a promotional release granting Sweepstakes Entities the right to use their name and likeness for advertising and publicity purposes without additional compensation. Entry into this Sweepstakes constitutes agreement to sign such releases. The Grand Prize Winner also must acknowledge that Sweepstakes Entities have not and will not obtain or provide insurance of any kind relating to the Grand Prize and that Grand Prize Winner (their parent/legal guardian if Grand Prize Winner is a resident of a jurisdiction that deems him/her to be a minor) will be responsible for obtaining and paying for any life, travel, accident, property or other form of insurance relating to the Grand Prize. Grand Prize Winner must also complete any additional legal documents provided by MTVN (or third party on its behalf, if applicable) with respect to the Grand Prize and return them as instructed within the timeframe specified by MTVN or Grand Prize Winner may forfeit the Grand Prize at MTVN's sole discretion. All decisions of MTVN relating to this Sweepstakes are final. MTVN expressly reserves the right to delay the announcement of the Grand Prize Winner for creative or technical reasons or for any other reason Sweepstakes Entities deem necessary.

10. Grand Prize: The Grand Prize Winner will receive a flyaway trip for two (2) for the Grand Prize Winner and one (1) guest (the "Guest") to see a live performance by Steel Magnolia at one of their tour cities of Grand Prize Winner's choice (the "Event"). Event dates subject to change in Sweepstakes Entities' sole discretion. If Grand Prize Winner cannot travel on dates specified by Sweepstakes Entities, Grand Prize Winner will forfeit all rights to the prize. Sweepstakes Entities are not responsible if potential Grand Prize Winner is unable or unavailable to accept prize. The trip will include (i) roundtrip coach class air transportation for Grand Prize Winner and Guest which shall originate from a major U.S. gateway airport of Sweepstakes Entities' choice nearest Grand Prize Winner's residence (as determined by Sweepstakes Entities in its sole discretion) to the nearest major airport for the Event, at Sweepstakes Entities' sole discretion. Sweepstakes Entities reserve the right to substitute ground transportation if Grand Prize Winner resides within 150 miles of the Event; (ii) two (2) nights hotel accommodations in Event city at Sweepstakes Entities' sole discretion, for Grand Prize Winner and Guest which shall be one (1) room based on double occupancy (meals, telephone calls, tips and other incidentals and costs are not included); (iii) two (2) tickets to the Event; and (iv) two (2) Meet-N-Greet passes with Steel Magnolia (collectively, the "Grand Prize").

If Grand Prize Winner is not available to travel on the dates specified by Sweepstakes Entities in their sole discretion, Grand Prize Winner privileges and Grand Prize will be terminated and an alternative Grand Prize Winner will be selected from the remaining Eligible Entries. Grand Prize Winner and Guest must travel on the same itinerary. Grand Prize Winner and Guest must travel on the dates specified by Sweepstakes Entities or the Grand Prize will be forfeited. Guest traveling with Grand Prize Winner must be at time of Grand Prize fulfillment eighteen (18) years of age or older. Big Machine will determine the airline, ground transportation, and hotel in its sole discretion. Travel restrictions, conditions and limitations may apply. Travel arrangements are subject to availability and must be roundtrip. Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations necessitated by same. Sweepstakes Entities shall not be liable for any loss or damage to baggage.

All travel dates are subject to change in Sweepstakes Entities' sole discretion. If for any reason any Grand Prize related event is delayed, cancelled or postponed, Sweepstakes Entities reserve the right, but is not obligated, to cancel or modify this Sweepstakes in their discretion and shall award a substitute prize of comparable or greater value, which may include, but is not limited to, a cash prize equivalent to the ARV of the trip portion of the Grand Prize as set forth in these Official Rules. Meet-N-Greet opportunities are subject to the availability of the artists named, if named. In the event that Meet-N-Greet's do not take place, there will be no replacement for this portion of the Grand Prize. The date for fulfillment of the Grand Prize will be no later than September 31, 2011, subject to change in Sweepstakes Entities' sole discretion.

The approximate retail value ("ARV") of the Grand Prize is $1,400.00.

The ARV are subject to change based on current market conditions at time of Grand Prize fulfillment and the time of travel and the distance between departure and destination. Any difference between the ARVs and the actual value, if any, will not be awarded. If, for any reason Sweepstakes Entities are unable to provide tickets to the Event, Sweepstakes Entities' only obligation is to award trip portion of the Grand Prize or a prize of comparable or greater value (which may include a cash prize equal to the ARV of the trip portion of the Grand Prize), in Sweepstakes Entities' sole discretion.

11. General Prize Terms: Arrangements for fulfillment of the Grand Prize will be made by Big Machine. All costs and expenses not specifically listed above, including, without limitation, meals, snacks, beverages, mini-bar, entertainment, tips, souvenirs, personal expenses, damages to hotel rooms, baggage fees and any equipment to be used in connection with the Grand Prize are solely Grand Prize Winner's responsibility. The value of the Grand Prize will be taxable to the Grand Prize Winner as income. Grand Prize Winner must supply MTVN with his/her social security number for tax purposes. IRS Form 1099s will be issued in the name of Grand Prize Winner for the actual value of the Grand Prize received. Upon entry into this Sweepstakes, Grand Prize Winner (as well as all other Eligible Entrants) is required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the Grand Prize Winner's responsibility. Sweepstakes Entities shall have no responsibility or obligation to a Grand Prize Winner or potential Grand Prize Winner who is unable or unavailable to accept or utilize Grand Prize as described herein.

No substitution, transfer or cash equivalent of the Grand Prize or any portion thereof permitted, except by Sweepstakes Entities, in which case a prize of comparable or greater value may be awarded.

Limitations of Liability: The Sweepstakes Entities assume no responsibility for any computer, online, telephone transmission or technical malfunctions that may occur during participation in the Sweepstakes or any Sweepstakes-related activity or for theft, destruction or unauthorized access to, or alteration of Photos/Elements. The Sweepstakes Entities are not responsible for any incorrect or inaccurate information, whether caused by website users, Eligible Entrants or any of the equipment or programming associated with or utilized in the Sweepstakes; or for any technical or human error which may occur in the processing of submissions. The Sweepstakes Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing (including, without limitation, any such problems which may result in the inability to access the Site or to submit Photos/Elements in connection with the Sweepstakes). The Sweepstakes Entities are not responsible for any injury or damage to Eligible Entrants or any other person, or to any computer related to or resulting from participating or downloading materials in the Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, MTVN reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part (including, without limitation, any Sweepstakes date or deadline) and select winners from among those Eligible Entrants from that portion of the Sweepstakes that has not been compromised, if any.

IN NO EVENT WILL THE SWEEPSTAKES ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS), ARISING OUT OF OR IN CONNECTION WITH THE SWEEPSTAKES.

Eligible Entrants further agree to release, indemnify, defend and hold Sweepstakes Entities and their parent, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Sweepstakes, harmless, from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in this Sweepstakes or acceptance or use of a prize or parts thereof, including without limitation (i) any condition caused by events beyond Sweepstakes Entities' control that may cause the Sweepstakes to be disrupted or corrupted; (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Sweepstakes; and (iii) any printing or typographical errors in any materials associated with the Sweepstakes.

Disputes/Governing Law: Except where prohibited, as a condition of participating in the Sweepstakes, each Eligible Entrant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, or the determination of winners shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will any Eligible Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-pocket expenses (e.g., costs associated with entering this Sweepstakes), and each Eligible Entrant further waives all rights to have damages multiplied or increased. All issues and questions rights and obligations of Eligible Entrant in connection with the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof and any matters or proceedings as set forth in these Official Rules, shall take place in the State of California, County of Los Angeles. The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or this Sweepstakes.

14. General Terms: Noncompliance with any of these Official Rules may result in disqualification.
