1. Entry Period: The "ENTERPRISE THANKS FOR GIVING WEEK SWEEPSTAKES" (the "Sweepstakes") commences at 11:59:59 a.m. (CST) on November 18, 2008 and ends at 11:59:59 p.m. (CST) on December 2, 2008 (the "Sweepstakes Period").

2. Eligibility: The Sweepstakes is open to legal residents of the continental United States (including the District of Columbia), who are at least 25 years of age at time of entry and have a valid driver's license. VOID IN PUERTO RICO AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. Employees (and the members of their households or immediate families [i.e., their spouses, parents, siblings and children and each of their respective spouses]) of Viacom International Inc. ("Viacom"), MTV Networks ("MTVN"), Country Music Television Inc. ("CMT"), Enterprise Rent-A-Car Company ("Enterprise" and together with Viacom, MTVN and CMT, the "Sponsors") and each of their respective corporate parents, subsidiaries and affiliated companies and entities, including their divisions, and advertising agencies, and anyone who has won an CMT Contest or Sweepstakes in the 2008 calendar year, are not eligible. By participating in this Sweepstakes, entrants acknowledge compliance with these official rules ("Official Rules) and agree to be bound by them, by Sponsors' interpretation of them and by the decisions of Sponsors, which are final in all matters relating to this Sweepstakes.

3. To Enter: To enter online: Visit CMT.com (the "Web Site") and complete the online entry form during the Sweepstakes Period. Entries must be received by 11:59:59 p.m. (CST) on December 2, 2008. Entry must be filled out completely with name, address, city, state, zip code, area code, phone number and email address (if applicable, online entries must have a valid functioning e-mail address) and information collected from an Entrant is subject to the Privacy Policy located at http://www.cmt.com/interact/terms/privacy.jhtml. Other than elected opt-in(s), your information will not be shared with any third party. Sponsors are not responsible for late, lost, misdirected, illegible, corrupted, delayed, mutilated, incomplete or postage-due entries or mail; or for computer system, phone line, hardware, software or program malfunctions; or for other errors, failures or delays in computer transmissions or network connections whether human or technical in nature. In the event of a dispute concerning the identity of an entrant, entry will be deemed submitted by the authorized account holder of the e-mail account as of date of entry. An "authorized account holder" is defined as the natural person who is assigned to an email address by a telephone company, wireless service provider, Internet access provider, Internet service provider, or other organization (e.g. business, educational, government, institution, etc.) that is responsible for assigning email addresses. Any effort by an entrant to misrepresent himself or herself through the use of aliases or multiple e-mail addresses will disqualify all entries of that entrant. All mass entries or entries generated by a script, macro or use of automated devices will be disqualified. All entries become the property of CMT and will not be returned. Entries submitted in accordance with those Official Rules shall be hereinafter referred to as the "Eligible Entries."

4. Winner Selection and Notification: One grand prize winner (the "Grand Prize Winner") will be selected in a random drawing on or about December 3, 2008 from among all Eligible Entries received and will be notified by telephone and/or e-mail. CMT will make a minimum of two (2) attempts to contact the potential Grand Prize Winner during the forty-eight (48) hour period following selection of the potential Grand Prize Winner. If the potential Grand Prize Winner cannot be reached during the forty-eight (48) hours during which Sponsor's attempt to contact the potential Grand Prize Winner (no messages will be left on answering machines or voicemail systems), such potential Grand Prize Winner will be disqualified and an alternate Grand Prize Winner will be selected from among all of the remaining Eligible Entries received in Sponsor's sole discretion. The odds of winning depend upon the number of Eligible Entries received.

5. Prize: One (1) Grand Prize (the "Grand Prize") will be awarded, consisting of a. One (1) Enterprise Weekend Car Rental; a full-size vehicle for a three (3) 24-hour day's weekend time charge. Advance reservation required. Rental does not include additional rental days, excess mileage, surcharges, recovery fees nor optional products and services, such as refueling fees, additional driver fees and damage waiver. Normal rental qualifications apply. Valid driver's license and proof of insurance required. Check your auto policy and/or credit card agreement for rental vehicle coverage. Credit card to secure rental may be required; b. hotel accommodations for Grand Prize Winner and Guest for a total of two (2) rooms for (2) nights in Destination City (costs for room and tax only based on two rooms with double occupancy; meals, telephone calls and other incidentals are not included); c. gas vouchers; and d. six (6) meal vouchers for the entire family. The Grand Prize fulfillment will be arranged by MTVN and fulfilled prior to December 31, 2009 and is subject to change at MTVN's sole discretion. The total approximate retail value (the "ARV") of the Grand Prize is $2,500.00. No substitution, transfer of the Grand Prize (or any portion thereof) or cash alternative permitted, except by MTVN, due to prize unavailability at time of award or circumstances beyond MTVN's control, in which case a prize of equal or greater value will be awarded. The ARV for the Grand Prize is subject to change based on current market conditions at time of the prize fulfillment. Guest traveling with Grand Prize Winner must be at least 25 years of age or older at time of prize fulfillment unless accompanied by his/her parent or legal guardian.

Certificates/vouchers may be subject to the terms and conditions of the issuer. All trip expenses not listed above are the responsibility of the winner. Grand Prize Winner will be responsible for all federal, state and local taxes.

6. Grand Prize Winner Verification: As a condition of receiving the Grand Prize, the Grand Prize Winner (or his/her parent or legal guardian if the winner is a minor in his/her jurisdiction of primary residence) must sign and return, within forty-eight (48) hours of receipt, (i) an affidavit of eligibility and liability release and hold harmless Sponsors and their respective corporate parents, subsidiaries, affiliated companies and entities, including their divisions and advertising agencies, and the officers, shareholders, directors, employees, agents and representatives of each of them from and against any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Sweepstakes or the use or acceptance of the Grand Prize, and (ii) except where prohibited, a promotional release granting the right to use his or her name, likeness, voice, and all entry materials for advertising, publicity and other commercial purposes, without additional compensation. Entry into this Sweepstakes constitutes Grand Prize Winner's agreement to sign such releases. Grand Prize Winner must also complete any additional legal documents provided by Sponsors with respect to the Grand Prize and return them as instructed within twenty-one (21) days after receipt of such documents. Noncompliance may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY GRAND PRIZE WINNER (AT SPONSORS' SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS THE GRAND PRIZE WINNER OF THIS SWEEPSTAKES AND ALL ASSOCIATED PRIVILEGES WILL BE IMMEDIATELY TERMINATED. IN SUCH EVENT, AN ALTERNATE WINNER MAY BE SELECTED IN A RANDOM DRAWING FROM AMONG ALL OF THE REMAINING ELIGIBLE ENTRIES RECEIVED IN SPONSORS' SOLE DISCRETION. Upon receipt of the Grand Prize, Grand Prize Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations. All taxes on the prizes as well as any expenses which are not expressly described herein are solely the Grand Prize Winner's responsibility.

7. General Terms: Sponsors assume no responsibility for incorrect or inaccurate entry information whether caused by a participant or by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error which may occur in the processing of the entries in this Sweepstakes. Sponsors are not responsible for late, lost, misdirected, illegible, corrupted, delayed, mutilated, incomplete or postage-due entries or mail; or for computer system, phone line, hardware, software or program malfunctions; or for other errors, failures or delays in computer transmissions or network connections whether human or technical in nature. If, for any reason, the Sweepstakes is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsors that in their judgment corrupts or affects the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsors reserve the right in their sole and unequivocal discretion to cancel, terminate, modify or suspend the Sweepstakes and/or prizes. In such event, Sponsors may award the Grand Prize by a random drawing from among all remaining Eligible Entries received prior to the action so taken. Entries that have been tampered with or altered are void. Sponsors reserve the right, in their sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or Web Site; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT/INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.
