1. Eligibility: CMT Music Awards and Mileyworld.com Sweepstakes (the "Sweepstakes") is open to CMT.com registered users (and is subject to its terms of use located at http://www.CMT.com/interact/terms) who are legal residents of the forty-eight (48) contiguous United States (including the District of Columbia), who are at least thirteen (13) years of age at time of entry and if of age, who have a valid driver's license. Prize Winners' determination is subject to proving eligibility, including verification of age and social security number. Employees, officers, directors and representatives of Country Music Television, Inc ("CMT"), MTV Networks, a division of Viacom Inc. ("MTVN") (collectively referred to herein as the "Sponsors"), and Interactive Media Marketing, Inc. doing business as www.MileyWorld.com and/or MileyWorld ("IMM", "MileyWorld" and/or "MileyWorld.com or together with Sponsors the "Sweepstakes Entities"), and each of their respective parents, subsidiaries, affiliates, their immediate family (spouse, parents, siblings, and children) and household members of each such employee, officer, director and representative as well as any person who has won a MTVN national contest or sweepstakes during the preceding year are not eligible. If Prize Winners cannot furnish verifiable and valid proof of age within forty-eight (48) hours after being notified of winning, an alternate winner may be chosen from among all remaining Eligible Entries received, in MTVN's sole discretion. VOID IN ALASKA, HAWAII, PUERTO RICO AND WHERE PROHIBITED OR RESTRICTED BY LAW. All entries become the property of MTVN. Additional restrictions may apply. IMM, MileyWorld nor MileyWorld.com are responsible for the collection, submission or processing of entries, the administration of the Sweepstakes, the selection of winners.

2. Timing: The Sweepstakes will be posted on CMT.com, a website owned and controlled by MTVN (the "Website"), and will begin at or around 12:00PM (CDT) on March 24, 2008 and end at 11:59PM (CDT) on April 3, 2008 (the "Promotion Period").

3. How To Enter: To enter, log on to the Website and follow the links and instructions for entry into the Sweepstakes. Entrants must be registered users of the Website. If you are not a registered user of the Website, you may register prior to entry by following the registration instructions available at the Website. Entrants must fill out the required fields on the Sweepstakes entry form to be entered into a random drawing ("Eligible Entry" or Eligible Entries"). Incomplete or inaccurate entry forms will be considered ineligible and void. All online entries must be received during the Promotion Period. Limit one (1) entry per person and/or email address per day during the Promotion Period. If an entrant uses multiple email addresses to submit more than one online entry for a given day, only the first online entry for that day will be accepted. In the event of a dispute as to any online entry, the authorized account holder and/or user of the email address used to enter will be deemed to be the entrant ("Entrant"). The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Entrants may be required to show proof of being the authorized account holder.

4. Drawing/Odds: The Prize Winners will be chosen at random from among all of the Eligible Entries received during the Promotion Period. MTVN will conduct a drawing on or around April 4, 2008. A representative of MTVN will contact the potential Winners by telephone using contact information provided at the time of entry. MTVN will make no more than two (2) attempts to call the potential Winner over a forty-eight (48) hour period. Upon notification, the potential Winner must confirm identity and eligibility, by signing and returning via facsimile an affidavit of eligibility within forty-eight (48) hours of initial contact. If any potential Winner(s) is unreachable, or if there is no response from any potential Winner(s) (no voicemail will be left), an alternate winner may be chosen at MTVN's sole discretion. If an alternate winner is chosen, he/she will be selected randomly from the remaining Eligible Entries. Odds of winning will be determined by the total number of Eligible Entries received.
5. Prizing:

(a) Grand Prize: One (1) Grand Prize is available, consisting of a trip for the Grand Prize Winner and one (1) guest to the 2008 CMT MUSIC AWARDS in Nashville, TN (the "Destination") from April 13, 2008 through April 15, 2008, dates non-negotiable. The trip will include: (i) round trip coach air transportation for the Grand Prize Winner and his or her Guest which shall originate from a major airport of MTVN's choice nearest Grand Prize Winner's residence (as determined by MTVN) to Destination. MTVN reserves the right to substitute ground transportation for air transportation if the Grand Prize Winner resides within one hundred fifty (150) miles of Destination; (ii) two (2) nights' hotel accommodations at a hotel of MTVN's choice which shall be one room (double occupancy) (meals, telephone calls, tips and other incidentals and costs are not included); (iii) Two (2) tickets to the 2008 CMT Music Awards; and (iv) One (1) "MileyWorld Staff Member for a Day" experience consisting of one (1) day as a MileyWorld staff member assisting with the taping of a Webisode Video "behind the scenes" of Miley Cyrus while at the 2008 CMT Music Awards or such other duties as may be reasonably determined by IMM in its sole discretion, collectively (the "Grand Prize"). The approximate retail value ("ARV") for the Grand Prize is $1,500.00 and is subject to change based on current market conditions at time of Grand Prize fulfillment and the time of travel and the distance between departure and destination. Any difference between the ARV and the actual value, if any, will not be awarded.

(b) Second Prizes: Ten (10) Second Prize Winners will receive one (1) free membership to MileyWorld.com and one (1) mini-poster autographed by Miley Cyrus (the "Second Prizes" and together with the Grand Prize and the Second Prizes, the "Prize" or "Prizes"). The ARV for each second prize package is $38.00; the total ARV for the Second Prize packages is $380.00. (The Grand Prize Winner together with the Second Prize Winner shall be referred to herein as the "Prize Winner" or "Winners".)

The total ARV for all Prizes is $1,880.00.

The specifics of all elements of any prize in the Sweepstakes shall be solely determined by MTVN. Some restrictions may apply. Travel must be completed between April 13, 2008 through April 15, 2008 on those dates determined by MTVN in its sole discretion. If Grand Prize Winner is not available to travel on the dates specified by MTVN in its sole discretion, Grand Prize Winner privileges and Grand Prize will be terminated and an alternative Grand Prize Winner will be selected from the remaining Eligible Entries. The Grand Prize Winner and his or her Guest must travel on the same itinerary. The Grand Prize Winner and his or her Guest must be twenty-one (21) years of age or older unless Grand Prize Winner is a parent or legal guardian of his/her Guest and must sign liability/publicity and guest releases as well as eligibility affidavits prior to travel. If the Grand Prize Winner has not yet reached the age of majority in the state in which he/she resides, then his/her parent/legal guardian must travel with said under-aged Grand Prize Winner. MTVN will structure the travel route and determine the airline and hotel in its sole discretion. Travel restrictions, conditions and limitations may apply. Grand Prize Winner and his or her Guest must possess valid travel documents in order to travel. Travel arrangements are subject to availability and must be roundtrip. The roundtrip air transportation element for the Grand Prize begins and ends at the point of departure. Grand Prize Winner and Guest may wish to obtain travel insurance (or other forms of insurance) at their own expense and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Grand Prize Winner and Guest must possess valid travel documents in order to travel. All travelers must execute a release of liability prior to ticketing. Travel arrangements are subject to availability and blackout dates. Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Sweepstakes Entities shall not be liable for any loss or damage to baggage. If for any reason any Grand Prize-related event is delayed, cancelled or postponed, MTVN reserves the right, but is not obligated, to cancel or modify the Sweepstakes in its sole discretion and shall award a substitute prize of equal or greater value, which may include, but is not limited to, a cash prize equivalent to the ARV of the trip portion of the Grand Prize as set forth in these Official Rules. No substitution, transfer of any prize (including any part of the Grand Prize package) or cash alternative will be permitted, except by MTVN due to prize unavailability at time of award in which case a prize of equal or greater value will be awarded. Unless specified otherwise by MTVN, no cash will be awarded. In the event the Grand Prize Winner and/or his or her Guest engage in behavior that (as determined by any of the Sweepstakes Entities in their sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, the Sweepstakes Entities reserve the right to terminate the trip or other applicable experience early, in whole or in part, and send the Grand Prize Winner and/or his or her Guest home with no further compensation. Applicable portions of the Grand Prize will be delivered only to an address in the forty-eight (48) contiguous United States.

Arrangements for the fulfillment of Prizes will be made by MTVN, except for the "MileyWorld Staff Member for a Day" experience for the Grand Prize Winner, which will be the sole responsibility of IMM. The Prize Winners must sign (a) an affidavit of eligibility and release of the Sweepstakes Entities and their affiliates from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this promotion or the use or acceptance of the Prizes or any portion thereof to be eligible for the Prizes; and (b) where permitted, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes in connection with this Sweepstakes without additional compensation. Entry in this Sweepstakes constitutes each potential Prize Winner's agreement to sign such release. The Prize Winner must also complete all legal documents and return them to MTVN within two (2) business days after receipt of such documents. Noncompliance will result in disqualification of the Prize Winner, and an alternate winner may be selected from among all remaining Eligible Entries, in MTVN's sole discretion. The receipt by the Prize Winner of any of the prize components of this Sweepstakes is conditioned upon compliance with any and all federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY THE PRIZE WINNERS (AS DETERMINED BY MTVN IN MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH PRIZE WINNERS' DISQUALIFICATION AS WINNER OF THIS SWEEPSTAKES AND ALL PRIVILEGES AS PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.

The dates for fulfillment of the Grand Prize will be on April 13, 2008 through April 15, 2008, subject to programming requirements and such dates are subject to change in MTVN's sole discretion.

All costs and expenses not specifically listed above, including, without limitation, meals, snacks, beverages, mini-bar, entertainment, tips, souvenirs, personal expenses, damages to hotel rooms, any equipment to be used in connection with the Grand Prize are solely the Grand Prize Winner's responsibility. The value of the Prizes may be taxable to the Prize Winners as income. The Prize Winners must supply MTVN with his/her social security number for tax purposes. If applicable, an IRS Form 1099 will be issued in the name of the Prize Winner for the actual value of the Prize received. Upon entry into the Sweepstakes, the Prize Winner (as well as all other Entrants) is required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the Prize Winner's responsibility. The Sweepstakes Entities shall have no responsibility or obligation to a Prize Winner or potential Prize Winner who is unable or unavailable to accept or utilize the Prize as described herein.

6. Agreement to Official Rules: By participating in this Sweepstakes, entrants agree to be bound by these Official Rules, the MTVN Terms of Use and Privacy Policy, and by the decisions of MTVN which are final in all matters relating to this Sweepstakes.

7. General Conditions/Terms/Liability: Noncompliance with any of these Official Rules may result in disqualification from the Sweepstakes. ANY VIOLATION OF THESE OFFICIAL RULES BY THE WINNERS OR ANY BEHAVIOR BY WINNERS AND/OR HIS/HER GUEST THAT WILL BRING SUCH WINNERS OR SWEEPSTAKES ENTITIES INTO DISREPUTE (IN SWEEPSTAKES ENTITIES' SOLE DISCRETION) WILL RESULT IN SUCH WINNERS' DISQUALIFICATION AS WINNERS OF THIS SWEEPSTAKES AND ALL PRIVILEGES AS WINNERS WILL BE IMMEDIATELY TERMINATED.

The Sweepstakes Entities assume no responsibility for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error which may occur in the processing of the entries in this Sweepstakes. The Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including, without limitation, any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes. The Sweepstakes Entities are not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes, or in the announcement of the Prizes or the Winners. If, for any reason, the Sweepstakes is not capable of running as planned, including, without limitation, changes in Sponsors' on-air programming, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sweepstakes Entities reserve the right in their sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, notice will be posted on cmt.com and the Prizes may be awarded to Winners to be selected from among all Eligible Entries received up until and or after (if applicable) the time of modification, cancellation or termination or in a manner that is fair and equitable as determined by Sponsor. All interpretations of these Official Rules and decisions by Sponsors are final. No software-generated, robotic, programmed, script, macro or other automated online or text message entries are permitted and will result in disqualification of all such entries. Sponsors reserve the right in their sole discretion to disqualify any individual they find to have tampered with the entry process or the operation of this Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or to have provided inaccurate information on any legal documents submitted in connection with this Sweepstakes. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. Entrants agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes, to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Prizes, including express warranties provided exclusively by a prize supplier that are sent along with the Prizes.

8. Winner's List: For a copy of the winner's list, send a self-addressed stamped envelope to: CMT Music Awards and MileyWorld.com Sweepstakes, Attn: Donna Marsh, 330 Commerce Street, Nashville, TN 37201. All requests must be received by May 15, 2008. VT residents may omit return postage.

9. Release: BY PARTICIPATING IN THIS SWEEPSTAKES, EACH ENTRANT AGREES THAT THE SWEEPSTAKES ENTITIES AND EACH OF THEIR PARENT, SUBSIDIARY, RELATED AND AFFILIATED COMPANIES, AND EACH OF THEIR RESPECTIVE SHAREHOLDERS AND AGENTS (i) SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSSES, DAMAGES OR INJURIES OF ANY KIND RESULTING FROM PARTICIPATION IN THE SWEEPSTAKES OR IN ANY SWEEPSTAKES RELATED ACTIVITY, OR FROM ENTRANT'S ACCEPTANCE, RECEIPT, POSSESSION AND/OR USE OR MISUSE OF ANY PRIZE, AND (ii) HAVE NOT MADE ANY WARRANTY, REPRESENTATION OR GUARANTEE EXPRESS OR IMPLIED, IN FACT OR IN LAW, WITH RESPECT TO ANY PRIZE AND SPECIFICALLY DISCLAIM ALL SUCH WARRANTIES, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. By accepting the Grand Prize, the Grand Winner agrees to the use of his/her name, photograph, likeness, and/or city/state of residence by the Sweepstakes Entities, or any party authorized by the Sweepstakes Entities, for advertising and promotional purposes worldwide and in any and all media without additional notice or compensation.
