1. Eligibility: The 2008 CMA Music Festival Sweepstakes (the "Sweepstakes") is open to CMT.com registered users (and is subject to its terms of use located at http://www.CMT.com/interact/terms) who are legal residents of the forty-eight (48) contiguous United States (including the District of Columbia), at least twenty-one (21) years of age at time of entry and who have a valid driver's license. Grand Prize Winner's determination is subject to proving eligibility, including verification of age and social security number. Employees, officers, directors and representatives of Country Music Television, Inc ("CMT"), MTV Networks, a division of Viacom Inc. ("CMT" or "MTVN") (collectively referred to herein as the "Sponsors"), and Country Music Association Inc. ("CMA" together with Sponsors the "Sweepstakes Entities"), and each of their respective parents, subsidiaries, affiliates, their immediate family (spouse, parents, siblings, and children) and household members of each such employee, officer, director and representative as well as any person who has won a CMT national contest or sweepstakes during the preceding year are not eligible. If Grand Prize Winner cannot furnish verifiable and valid proof of age within forty-eight (48) hours after being notified of winning, an alternate winner may be chosen from among all remaining Eligible Entries received, in MTVN's sole discretion. VOID IN ALASKA, HAWAII, PUERTO RICO AND WHERE PROHIBITED OR RESTRICTED BY LAW. All entries become the property of MTVN. Additional restrictions may apply. CMA is not responsible for the collection, submission or processing of entries, the administration of the Sweepstakes, the selection of winners or prize fulfillment.

2. To enter: The Sweepstakes will be posted on CMT.com, a website owned and controlled by Country Music Television Inc. an MTV Networks, a division of Viacom, Inc. ("the Website") starting at or around 12:00pm (CDT) on April 1, 2008 and ending at 11:59 pm (CDT) on May 7, 2008 (the "Promotion Period"). Eligible entrants must fill out the required fields on the Sweepstakes online entry to be entered into a random drawing. Entries submitted in accordance with these Official Rules shall be hereinafter referred to as the "Eligible Entries." Eligible Entries will be entered into a random drawing to determine the one (1) grand prize winner (the "Grand Prize Winner"). Entrants must complete all required data requested on the entry form. Incomplete or inaccurate entry forms are void. Limit one entry per person per day. If an entrant uses multiple e-mail addresses to submit more than one online entry for a given day, only the first online entry for that day will count. By entering, entrants acknowledge compliance with these official rules including all eligibility requirements. CMT is not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Web site or combination thereof, including injury or damage to entrants or to any other person's computer related to or resulting from participating or downloading materials in this Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of CMT which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes or for any reason CMT deems it necessary, CMT reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, CMT will post notice on CMT.com and conduct a random drawing from among all of the Eligible Entries received up until the time the Sweepstakes was terminated to determine the Grand Prize Winner. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted the winning entry, the holder of the winning email account will be declared the winner.

3. Drawing/Odds: The Grand Prize Winner will be chosen at random from among all of the Eligible Entries received during the Promotion Period. MTVN will conduct a drawing on or around May 8, 2008. A representative of MTVN will contact the potential Grand Prize Winner by telephone using contact information provided at the time of entry. MTVN will make no more than two (2) attempts to call the potential Grand Prize Winner over a forty-eight (48) hour period. Upon notification, the potential Grand Prize Winner must confirm identity and eligibility, by signing and returning via facsimile an affidavit of eligibility within forty-eight (48) hours of initial contact. If any potential Grand Prize Winner(s) is unreachable, or if there is no response from any potential Grand Prize Winner(s) (no voicemail will be left), an alternate winner may be chosen at MTVN's sole discretion. If an alternate winner is chosen, he/she will be selected randomly from the remaining Eligible Entries. Odds of winning will be determined by the total number of Eligible Entries received.

4. Prizing: One (1) Grand Prize Winner will receive one (1) 5-night trip to Nashville's 2008 CMA MUSIC FESTIVAL, which includes:

• Five (5) nights' hotel accommodations at a downtown hotel of CMT's choice for Grand Prize Winner and Guest in Nashville, TN. (Single room based on double occupancy, room and tax only; meals, telephone calls and other incidentals not included);
• Roundtrip domestic coach airfare for two from the major airport nearest Grand Prize Winner's place of residence (CMT reserves the right to substitute ground transportation for air transportation if the Grand Prize Winner resides within 150 miles of Nashville, TN);
• Ground transport to/from BNA-Nashville Metropolitan Airport;
• Two (2) 4-day passes to the CMA Music Festival, including admittance to all official CMA Music Festival* venues:
  • Nightly Concerts at LP Field
  • Daily Concerts at the Greased Lightning Daytime Stages
  • Exhibit Hall autograph signings
  • Chevy Music Tour
  • McDonald's-Dr Pepper Family Zone

• Two (2) Tickets to a Special Event; and
• CMA Music Festival Gift Bag

(the foregoing, the "Grand Prize"). The estimated retail value of the Grand Prize is $3,400.00.

Arrangements for the fulfillment of prizes will be made by MTVN. The Grand Prize Winner must sign (a) an affidavit of eligibility and release of the Sweepstakes Entities and their affiliates from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this promotion or the use or acceptance of the Grand Prize or any portion thereof to be eligible for the Grand Prize; and (b) where permitted, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes in connection with this Sweepstakes without additional compensation. Entry in this Sweepstakes constitutes each potential Grand Prize Winner's agreement to sign such release. The Grand Prize Winner must also complete all legal documents and return them to MTVN within two (2) business days after receipt of such documents. Noncompliance will result in disqualification of the Grand Prize Winner, and an alternate winner may be selected from among all remaining Eligible Entries, in MTVN's sole discretion. The receipt by the Grand Prize Winner of any of the prize components of this Sweepstakes is conditioned upon compliance with any and all federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY THE GRAND PRIZE WINNER (AS DETERMINED BY MTVN IN MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH GRAND PRIZE WINNER'S DISQUALIFICATION AS WINNER OF THIS SWEEPSTAKES AND ALL PRIVILEGES AS GRAND PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.

The dates for fulfillment of the Grand Prize will be on June 4, 2008 through June 9, 2008, subject to programming requirements and such dates are subject to change in MTVN's sole discretion.

Arrangements for fulfillment of the Grand Prize, including all travel arrangements will be made by What a Trip. All costs and expenses not specifically listed above, including, without limitation, meals, snacks, beverages, mini-bar, entertainment, tips, souvenirs, personal expenses, damages to hotel rooms, any equipment to be used in connection with the Grand Prize are solely the Grand Prize Winner's responsibility. The value of the Grand Prize may be taxable to the Grand Prize Winner as income. The Grand Prize Winner must supply MTVN with his/her social security number for tax purposes. An IRS Form 1099 will be issued in the name of the Grand Prize Winner for the actual value of the Grand Prize received. Upon entry into the Sweepstakes, the Grand Prize Winner (as well as all other Entrants) is required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the Grand Prize Winner's responsibility. The Sweepstakes Entities shall have no responsibility or obligation to a Grand Prize Winner or potential Grand Prize Winner who is unable or unavailable to accept or utilize the Grand Prize as described herein.

5. Agreement to Official Rules: By participating in this Sweepstakes, entrants agree to be bound by these Official Rules and by the decisions of MTVN which are final in all matters relating to this Sweepstakes.

6. General Conditions/Terms/Liability: Noncompliance with any of these Official Rules may result in disqualification from the Sweepstakes. ANY VIOLATION OF THESE OFFICIAL RULES BY THE GRAND PRIZE WINNER OR ANY BEHAVIOR BY THE GRAND PRIZE WINNER AND/OR HIS/HER GUEST THAT WILL BRING SUCH GRAND PRIZE WINNER OR SWEEPSTAKES ENTITIES INTO DISREPUTE (IN SWEEPSTAKES ENTITIES' SOLE DISCRETION) WILL RESULT IN SUCH GRAND PRIZE WINNER'S DISQUALIFICATION AS THE GRAND PRIZE WINNER OF THIS SWEEPSTAKES AND ALL PRIVILEGES AS THE GRAND PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.

The Sweepstakes Entities assume no responsibility for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error which may occur in the processing of the entries in this Sweepstakes. The Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including, without limitation, any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes. The Sweepstakes Entities are not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes, or in the announcement of the Grand Prize and Grand Prize Winner. If, for any reason, the Sweepstakes is not capable of running as planned, including, without limitation, changes in Sponsors' on-air programming, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sweepstakes Entities reserve the right in their sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, notice will be posted on cmt.com and the Grand Prize may be awarded to a winner to be selected from among all Eligible Entries received up until and or after (if applicable) the time of modification, cancellation or termination or in a manner that is fair and equitable as determined by Sponsor. All interpretations of these Official Rules and decisions by Sponsors are final. No software-generated, robotic, programmed, script, macro or other automated online or text message entries are permitted and will result in disqualification of all such entries. Sponsors reserve the right in their sole discretion to disqualify any individual they find to have tampered with the entry process or the operation of this Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or to have provided inaccurate information on any legal documents submitted in connection with this Sweepstakes. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. Entrants agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes, to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Grand Prize, including express warranties provided exclusively by a prize supplier that are sent along with the Grand Prize.

7. Winner's List: For a copy of the winner's list, send a self-addressed stamped envelope to: CMT Consumer Marketing 2008 CMA Music Festival Sweepstakes, 330 Commerce Street, Nashville, TN 37201. All requests must be received by August 1, 2008. VT residents may omit return postage.

8. Release: BY PARTICIPATING IN THIS SWEEPSTAKES, EACH ENTRANT AGREES THAT THE SWEEPSTAKES ENTITIES AND EACH OF THEIR PARENT, SUBSIDIARY, RELATED AND AFFILIATED COMPANIES, AND EACH OF THEIR RESPECTIVE SHAREHOLDERS AND AGENTS (i) SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSSES, DAMAGES OR INJURIES OF ANY KIND RESULTING FROM PARTICIPATION IN THE SWEEPSTAKES OR IN ANY SWEEPSTAKES RELATED ACTIVITY, OR FROM ENTRANT'S ACCEPTANCE, RECEIPT, POSSESSION AND/OR USE OR MISUSE OF ANY PRIZE, AND (ii) HAVE NOT MADE ANY WARRANTY, REPRESENTATION OR GUARANTEE EXPRESS OR IMPLIED, IN FACT OR IN LAW, WITH RESPECT TO ANY PRIZE AND SPECIFICALLY DISCLAIM ALL SUCH WARRANTIES, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. By accepting a prize, the Grand Prize Winner agrees to the use of his/her name, photograph, likeness, and/or city/state of residence by the Sweepstakes Entities, or any party authorized by the Sweepstakes Entities, for advertising and promotional purposes worldwide and in any and all media without additional notice or compensation.
